Payment Terms

All quoted prices are valid for 28 days from the date stated on the estimate supplied.
50% deposit is required before work can be commenced.
50% balance is due when all parts of work are completed.
Final website will not be migrated to your servers (when relevant) until the balance is paid in full.
Invoices are due to be paid within 14 days.
A 5% delayed payment fee may be charged if invoices are not paid within this period. This 5% fee will be added upon each recurring 14 day period, until the full amount is received.
If the commissioned work is cancelled, all work completed at the time the project is cancelled will be invoiced.

All preparation materials, visuals, working prototypes, staging sites, remain the property of iam39.
The final files will become property of the client only upon final payment of the project.
If final payment is not received as agreed in an initial proposal and/or estimate, all work will remain properly of iam39 until payment is received.

The client will approve and proofread all final design, copy and proofs, iam39 will make all efforts to ensure that no information is misrepresented. However the client assumes all responsibility for content and approval.
Approval of all materials will be assumed after the work has been submitted for review, unless the client indicates otherwise in writing.
Wherever possible email should be the main form of communication during all projects.
The client accepts responsibility that the project(s) deadline may require adjustment if responses to emails from iam39 are not received in a timely manner.
The client will inform iam39 in writing before work commences if any portion of any material or information is confidential.
The client agrees to indemnify and hold harmless iam39 from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, including legal fees and costs, but only to the extent caused by, arising out of, the work supplied by iam39.
